1. About these terms
These Terms of Service ("Terms") govern your use of Amigzo - our website, apps, and related services (together, the "Platform") - operated by Amigzo, Inc. ("Amigzo", "we", "our"). By using the Platform you agree to these Terms. If you don't agree, don't use the Platform.
Amigzo is a marketplace that connects working professionals ("Guides") with people seeking guidance ("Seekers"). Amigzo is not a party to any conversation, engagement, or advice exchanged between a Seeker and a Guide.
2. Accepting these terms
You accept these Terms by creating an account, booking a session, becoming a Guide, posting on the Doubt Board, or otherwise using the Platform. You're responsible for the accuracy of information you provide and for the equipment and connectivity you use.
3. Accounts
3.1 Creation. One account per person. Keep your credentials confidential; you're responsible for activity on your account.
3.2 Accuracy. Profile information, especially verification data, must be truthful and up to date.
3.3 Security. Tell us at help@amigzo.com as soon as you suspect any unauthorised access.
4. Seekers and Guides
4.1 Seekers use the Platform to find Guides, ask questions, and book sessions. Seekers pay for sessions through their Amigzo wallet.
4.2 Guides set their own per-minute rates and service prices, list the topics they can speak to, and run sessions in the formats offered (live, scheduled, async, dedicated services, workshops, digital products). Guides are independent professionals, not employees or agents of Amigzo.
4.3 Conflicts of interest. Guides must not use sessions to solicit employment, violate confidentiality obligations owed to any third party, or share information they aren't authorised to share.
5. Sessions and conduct
5.1 Formats. Amigzo supports per-minute live calls (voice, video, or chat), scheduled 1:1 sessions, async Q&A, dedicated services, group workshops, and digital products. Each format has its own pricing and cancellation rules surfaced on the Guide's profile.
5.2 Acceptable conduct. No harassment, hate speech, impersonation, solicitation of minors, sharing of confidential third-party data, or attempts to move payments off-platform. The Report button on every session routes directly to our Trust & Safety lead.
5.3 Off-platform dealings. Arranging payment for Amigzo-facilitated sessions outside the Platform violates these Terms and may result in suspension of both accounts.
6. Wallet, payments, and refunds
6.1 Seeker wallet. Seekers top up an Amigzo wallet via UPI, cards, or net-banking. Per-minute sessions are billed against the wallet in real time; scheduled sessions and dedicated services are charged at booking. Unused balance carries forward with no expiry and can be refunded to the originating bank account at any time.
6.2 Guide earnings. Guide earnings land in the Guide's Amigzo wallet within 48 hours of session completion, net of commission. Guides can withdraw to their Indian bank account once their balance crosses ₹100. No payout fees.
6.3 Refunds and disputes. Per-minute sessions stop billing the moment either party ends the call. If a paid session falls below a fair quality bar, our team reviews and, where appropriate, refunds. Dispute requests must be filed within 7 days of the session.
6.4 Taxes. Guides are responsible for their own tax reporting and obligations (including GST where applicable). Amigzo deducts TDS as required by Indian law.
7. Fees and commission
Amigzo charges a flat commission on Guide earnings, disclosed on the Guide's earnings statement. Founding-cohort Guides may unlock reduced rates, subject to cohort-specific terms. Commission rates may change on reasonable prior notice; changes apply to sessions booked after the change takes effect.
8. User content
8.1 Your content. You retain ownership of content you submit (profile copy, reviews, Doubt Board posts, digital products, workshop recordings you upload). By submitting, you grant Amigzo a worldwide, non-exclusive, royalty-free licence to host, reproduce, and display the content as needed to operate the Platform.
8.2 Prohibited content. No content that is unlawful, defamatory, infringing, sexually explicit, harassing, deceptive, or designed to harm other users or the Platform. We may remove content at our discretion.
8.3 Attribution of advice. Any guidance shared by a Guide reflects that Guide's personal view. Amigzo does not endorse, verify, or guarantee the correctness of individual advice.
9. Intellectual property
The Platform, the Amigzo name and marks, and the software and content we provide are owned by or licensed to Amigzo and protected by Indian and international IP law. You may access and use the Platform only as these Terms permit.
10. Ratings, reviews, and reports
Seekers may rate and review sessions. Ratings must reflect the actual session - nothing bought, nothing coerced. Reports of abuse, fraud, or safety concerns are reviewed by our Trust & Safety team; we aim to acknowledge within 4 working hours and decide within 48 hours.
11. Third-party services
We use third parties for payments, infrastructure, email, analytics, and video/audio. Your use of those services is subject to their own terms. Amigzo is not responsible for any third-party service except as required by law.
12. Termination and suspension
We may suspend or terminate access, with or without notice, for breach of these Terms, suspected fraud, or conduct that threatens the safety of other users. You may close your account at any time from settings; your wallet balance will be refunded per Section 6.1.
13. Disclaimer of warranties
The Platform is provided "as is" and "as available". We don't warrant that it will be uninterrupted, error-free, or that Guide advice will be accurate or suitable for your situation. Except where required by law, all implied warranties are disclaimed.
14. Limitation of liability
To the maximum extent permitted by law, Amigzo's total liability for any claim arising out of or relating to the Platform will not exceed the amount you paid to Amigzo in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
15. Indemnification
You agree to indemnify and hold Amigzo harmless from claims arising from your use of the Platform, your content, your breach of these Terms, or your violation of a third party's rights.
16. Governing law
These Terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.
17. Changes to these terms
We may update these Terms from time to time. For material changes, we'll notify registered users by email or in-app at least 14 days before they take effect. Continued use after the effective date means you accept the updated Terms.

19. Miscellaneous
These Terms are the entire agreement between you and Amigzo on the subject they cover, and supersede any earlier agreements. Failure to enforce a provision is not a waiver. If any provision is unenforceable, the rest remain in effect. Section headings are for reference only.
